Responding Wednesday, MOL said there had been no changes to the ongoing transaction requiring a capital market disclosure.

Speaking to Bloomberg Adria, Mali said MOL had also signed a shareholders’ agreement with the Serbian state. The transaction still requires clearance from competition authorities, he added.

In January, MOL signed a heads of terms agreement to acquire a 56.15% stake in NIS from Gazprom Neft. With the Russian company subject to U.S. sanctions, the U.S. Treasury’s Office of Foreign Assets Control (OFAC) set an Oct. 30 deadline for concluding negotiations on the acquisition.

MOL subsequently signed a shareholders’ agreement with the Serbian government in June covering the future governance of NIS. Serbia currently holds a 29.87% stake in the company.

Mali told Bloomberg Adria that a written agreement had been reached to increase Serbia’s holding to 35%, taking it above the one-third threshold. He did not disclose the financial terms or the size of MOL’s future stake.

Responding to the report in a statement later Wednesday, MOL said “there have been no changes in the ongoing NIS transaction that would require MOL to inform the capital markets.”

“In the event of any new, relevant developments, MOL will provide information immediately in accordance with applicable laws,” the company added.
