According to the MoU, the parties would also establish a long-term strategic partnership.
Impact Ventures is an established regional venture capital and private equity player focused on impact investing, targeting measurable social outcomes. It currently manages three investment funds.
Under the planned cooperation, the parties would coordinate activities in financial administration, investor relations, future fundraising, IT and marketing, while also working together to increase the assets managed by Impact Ventures.
O3 Partners has gradually shifted its operating model in recent years away from direct technology investments toward acquiring strategic stakes in fund managers and investment advisers, as well as expanding its own managed funds.
Total assets under management across funds belonging to the group currently exceed EUR 300 million.
As a first step, O3 Partners could acquire a 10% minority stake in Impact Ventures, with the possibility of increasing that stake later. Any increase would be tied to jointly defined strategic milestones, primarily the launch of new funds and successful fundraising.
“The essence of O3 Partners’ strategy is to stand alongside the region’s best fund managers as an owner and operating partner. It has long been our goal to bring impact investing activity into the group in some form, and we found the best option in the regional market through cooperation with Impact Ventures,” said Péter Oszkó, founder and CEO of O3 Partners N.V.
“At the same time, we are convinced that the partnership is not one-way: with our platform, investor relationships and operational background, we can also make a significant contribution to the further growth of Impact Ventures,” he added.
Eszter Elemér, managing director of Impact Ventures, said the company had demonstrated through its funds in recent years that achieving a positive social or environmental impact and generating market returns were not mutually exclusive.
“We are currently planning to launch further impact funds. To implement our growth plans, we want to work with an internationally recognized and experienced partner that can contribute to the success of our next growth phase through its extensive European investor network, as well as its professional experience and infrastructure supporting fund management operations,” Elemér said.
“During the cooperation, however, we will continue to preserve our own business philosophy and independent investment activity. The O3 Partners platform offers exactly this and can materially accelerate the launch of our new funds,” she added.
The parties emphasized that, with the exception of certain provisions expressly designated as binding, the memorandum does not create an obligation to complete the transaction.
The signing of definitive agreements will depend on the outcome of formal due diligence and the necessary corporate approvals.
