Nemetschek AG, a German maker of software used in the construction and real-estate industries, expects to buy a 54.3%-stake in Hungarian rival Graphisoft SE by the end of January.
Nemetschek will buy about 5.8 million shares in Budapest-based Graphisoft in an option running from December 1 through Jan. 31, 2007, the Germany company said in a statement published in the BÉT newsletter today. It will pay €9 ($11.8) per share, it said December 21. After it purchases the majority stake, Nemetschek must make an offer to buy all the shares it doesn't own in Graphisoft within 15 days, Chairman Gábor Bojár said in an interview December 22.
Only then can Nemetschek decide whether it wants to keep Graphisoft on the Budapest bourse or delist it. Nemetschek shares rose 0.7% to €21.66 yesterday and have increased 53% this year. Graphisoft fell 0.1% to Ft 2,210 yesterday. Its shares have more than doubled this year. (Bloomberg)
